Job Description

  • Scheduling of meetings of the Directors and shareholders according to the applicable provisions of law.
  • Conducting meetings of the Directors and shareholders.
  • Ensuring terms of appointment and remuneration of Managerial person and Directors.
  • Inter corporate Contracts.
  • Inter corporate Loans and investment.
  • Borrowing and investments.
  • Shareholding composition and restructuring.
  • Issue of share capital and debentures.
  • Drafting various required committee Policies and ensuring their compliances.
  • Advising Board of Directors on matters of Corporate Governance and their duties as director. This will include dealing with conflicts of interest, managing the interest of shareholders and other stakeholders and dealing with applicable codes and investor’s guidelines.
  • Communication and Correspondence with company’s consultants for various matters as per the requirement.
  • All necessary work as per the directions and need of management and applicable laws.
  • To ensure that no confidential information is disclosed to a third party without prior permission of the management.
